Definitions

Platform refers to the Company’s SaaS + CaaS system used for lead capture, qualification, routing, and management.

Client refers to any real estate developer, broker, agent, or partner using the Platform.

Lead refers to any inquiry, contact, or prospect generated and delivered through the Platform.

Services refer to lead generation, qualification, routing, analytics, and related support services.

Scope of Services

The Company provides:

• Lead generation through digital channels
• Lead qualification and intent capture
• Lead categorization (Hot / Warm / Cold)
• Automated or manual routing to designated partners
• Basic reporting and analytics
• The Company does not guarantee property sales, revenue outcomes, or conversion rates.

Client Responsibilities

The Client agrees to:

• Provide accurate project and pricing information
• Respond to leads within a commercially reasonable timeframe
• Maintain compliance with all applicable real estate laws and licensing requirements
• Use the Platform only for lawful business purposes
• Not misuse, resell, or redistribute leads without authorization
• Failure to respond promptly may impact lead quality and performance metrics

Lead Ownership & Usage

Unless otherwise agreed in writing:

• Leads generated for a specific Client are delivered exclusively to that Client.
• The Client may use leads solely for legitimate real estate marketing and sales activities.

The Company retains the right to use anonymized and aggregated data for analytics, reporting, and service improvements.

Fees & Payment Terms

Fees shall be governed by the applicable Service Agreement or Order Form.

Payments must be made within the agreed billing cycle.

Late payments may incur interest charges or temporary suspension of services.

All fees are non-refundable unless expressly stated otherwise.

Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of the Platform or Services.

The Company’s total liability for any claim arising out of or relating to these Terms shall not exceed the amount paid by the Client for the Services in the preceding three months.

Indemnification

The Client agrees to indemnify and hold harmless the Company and its affiliates from any claims, damages, liabilities, costs, or expenses arising out of or related to the Client’s use of the Platform or violation of these Terms.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization].

Changes to Terms

The Client agrees:

• To comply with applicable data protection and consumer communication laws
• Not to contact leads in violation of opt-in/consent regulations
• To implement adequate safeguards for stored lead data
• The Company is not responsible for misuse of data by the Client.

No Guarantee of Results

While the Company uses commercially reasonable efforts to generate and qualify leads:

• Conversion rates are not guaranteed.
• Sales outcomes depend on market conditions, pricing, location, and Client follow-up performance.

Intellectual Property

All Platform software, systems, workflows, and materials remain the intellectual property of the Company.

The Client receives a limited, non-transferable, non-exclusive license to use the Platform during the subscription period.

Confidentiality

Both parties agree to maintain confidentiality of:

• Business strategies
• Lead data
• Pricing structures
• Technical processes

Confidential information may not be disclosed without prior written consent.

Limitation of Liability

To the fullest extent permitted by law:

• The Company shall not be liable for indirect, incidental, or consequential damages.
• Total liability shall not exceed the total fees paid by the Client in the preceding three (3) months.

Termination

Either party may terminate:

• With written notice as specified in the Service Agreement
• Immediately in case of material breach
• Upon termination, access to the Platform may be suspended.

Indemnification

The Client agrees to indemnify and hold harmless the Company against claims arising from:

• Misrepresentation of property details
• Regulatory non-compliance
• Improper use of lead data

Governing Law

These Terms shall be governed by and construed in accordance with the laws of:

Indian state jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.

Amendments

The Company reserves the right to update these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.
